Terms of Service

Terms governing access to and use of the Carryn platform.

These Terms of Service are intended to operate as a binding agreement between Carryn and every person or entity that accesses, creates an account on, posts through, applies through, communicates through, pays through, or otherwise uses the Carryn website, mobile app, and related services.

Platform-only role

Carryn is a marketplace and software platform. Carryn is not the shipper, carrier, courier, freight forwarder, customs broker, warehouse, bailee, insurer, or carrier of record.

Users carry the risk

Senders, carriers, and recipients remain responsible for the consignments, statements, approvals, handling decisions, compliance obligations, and outcomes tied to those consignments.

Liability is heavily limited

To the maximum extent permitted by law, Carryn disclaims warranties, limits liability, and requires users to defend and indemnify Carryn for claims caused by their use of the platform.

1. Acceptance of Terms

By creating an account, clicking an acceptance checkbox or button, signing in, posting a consignment, applying as a carrier, accepting a delivery workflow, uploading evidence, making a payment, or otherwise using Carryn, you agree to these Terms and to the Carryn Privacy Policy.

If you do not agree to these Terms, you must not access or use the platform. If you are using Carryn on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility and Account Requirements

You may use Carryn only if you are legally capable of entering into a binding contract and are permitted to use the platform under all applicable laws.

You are responsible for maintaining accurate account information, safeguarding your credentials, restricting access to your devices, and promptly notifying Carryn of suspected unauthorized use.

  • You must provide truthful identity, contact, and profile information.
  • You may not create accounts for another person without authorization.
  • You may not use Carryn if your account has been suspended or terminated unless Carryn expressly allows reactivation.

3. Carryn Platform Role

Carryn provides software tools that allow independent users to discover each other, post consignments, apply to carry them, communicate, upload evidence, process held payments through third-party providers, and maintain records related to delivery activity.

Carryn does not take title to consignments, does not package or transport them, does not inspect every item, does not control the acts or omissions of senders, carriers, or recipients, and does not undertake a duty to complete, supervise, or guarantee any delivery.

  • Carryn is not a common carrier or private carrier.
  • Carryn is not a shipper, customs broker, freight forwarder, insurer, or storage provider.
  • No user is an employee, agent, joint venturer, franchisee, partner, or legal representative of Carryn solely by using the platform.

4. Marketplace-only Relationship

Any arrangement relating to a consignment or delivery exists primarily between the users involved in that transaction. Carryn is not a party to the physical handoff, travel, handling, customs, recipient acceptance, or final condition of any consignment except to the limited extent Carryn separately states in writing.

Carryn may create operational rules, product restrictions, evidence requirements, and payout controls for use of the platform, but those controls do not convert Carryn into the transporter or guarantor of any consignment.

4A. Pricing, Best Price Offers, and Acceptance

Carriers may choose fixed-price terms, Best Price terms, or both where the platform makes those options available. A fixed price is a carrier-stated amount that a sender may accept through the platform. A Best Price offer is a sender-stated proposed amount that remains subject to carrier acceptance, rejection, expiration, fraud review, payment-provider controls, and platform rules.

A Best Price offer does not create a delivery, reserve carrier capacity, require a carrier to perform, or require Carryn to honor any price unless and until the offer is accepted through the platform and the required sender payment is completed. Coupons, rewards, credits, and promotional adjustments may apply only as shown in the checkout or platform record and may be changed, rejected, or reversed where required by law, fraud controls, payment-provider rules, or platform policy.

  • Best Price offers expire after the stated response window, currently 36 hours unless the platform displays a different period.
  • Carryn may display offer history or competitive pricing context to support marketplace transparency, but Carryn does not guarantee that any displayed price is available, comparable, profitable, lawful, or final.
  • Users are responsible for reviewing the final checkout, delivery, label, fee, coupon, and payout breakdown before accepting, paying, or performing.

5. Sender Obligations

Senders are solely responsible for what they post, how they describe it, whether it is lawful to transfer, whether it is accurately declared, and whether they have the right to make it available for carriage and delivery.

Senders must ensure that recipient information, route details, delivery instructions, contents summaries, item category selections, value disclosures, customs statements, and special instructions are complete, accurate, and current.

  • Package and protect items appropriately for the intended route and handling method.
  • Do not ask a carrier to conceal, misdeclare, understate, relabel, or otherwise misrepresent a consignment.
  • Obtain all permissions, consents, permits, declarations, and approvals required for the item, recipient, route, and jurisdiction.
  • Pay all charges, duties, taxes, fees, or other amounts assigned to the sender under applicable law or the applicable delivery arrangement.

6. Carrier Obligations

Carriers are solely responsible for deciding whether to apply for, accept, carry, store, hand off, or refuse a consignment. A carrier must use independent judgment and must never carry an item that the carrier believes is unlawful, unsafe, misdeclared, restricted, improperly packaged, or inconsistent with the listing.

Carriers are responsible for truthful route and availability information, including travel start and end dates, lawful possession and handling, maintaining custody appropriate to the item and route, following Carryn evidence and status procedures, and complying with airline, airport, customs, courier, travel, safety, and local legal requirements.

After approval and sender payment, carriers must complete the intake checklist and photo before transit, allow the platform to move eligible deliveries to in-transit status based on the stated travel start date, and provide approximate foreground and background location updates during active transit where device permissions, operating-system controls, and connectivity allow.

  • A carrier may inspect packaging, request clarification, or refuse carriage if the stated contents do not match the actual contents or if the carrier has any legal, safety, or policy concern.
  • Carrier verification badges, approval states, or payout readiness do not eliminate the carrier’s independent legal obligations.
  • A carrier is responsible for securing any additional travel, customs, or courier documentation required for that carrier’s specific route and delivery method.

7. Recipient and Final Acceptance Obligations

Recipients and sender-side account holders are responsible for inspecting the consignment promptly after handoff or arrival, confirming whether all expected contents were received, and reporting missing, extra, damaged, unsafe, or suspicious contents through the platform where that functionality is available.

Receipt confirmation, complaint records, photos, and timeline entries are evidence tools for the platform record only. They do not create insurance, a guarantee, a warranty, or an assumption of transport liability by Carryn.

8. Prohibited, Restricted, and Misdeclared Items

You may not use Carryn for any item or activity that is unlawful, unsafe, fraudulent, deceptive, sanctioned, export-controlled, embargoed, restricted by route rules, prohibited by Carryn policy, or otherwise unsuitable for the delivery method involved.

Carryn may prohibit a broader set of items than the law alone would prohibit. Carryn may remove listings, block applications, require additional review, hold payouts, report suspicious activity, or suspend accounts when risk, safety, fraud, or compliance concerns arise.

  • Examples can include weapons, hazardous materials, counterfeit goods, narcotics, stolen property, illegal cash movement, fraudulent documents, controlled substances, or undeclared restricted goods.
  • The examples above are not exhaustive. Users remain responsible for legal compliance even when an item type is not expressly listed in the product interface.

9. Verification, Trust Signals, and Platform Controls

Carryn may use identity, selfie, document, payout, complaint, evidence, or behavioral checks and may display certain trust signals, ratings, or approval states to users. Those trust signals are operational indicators only.

A verification result, rating, badge, or prior successful delivery does not guarantee lawful conduct, delivery success, item condition, truthfulness, future performance, or user reliability.

10. Payments, Holds, Fees, Payouts, Refunds, and Taxes

Payments, holds, refunds, payouts, and related onboarding may be handled through third-party payment service providers. By using those features, you also agree to any provider terms, onboarding requirements, reserve practices, payout timing rules, chargeback procedures, and compliance checks that apply.

Carryn may collect platform fees, hold sender funds pending completion states, delay release where fraud, compliance, dispute, complaint, or evidence issues exist, and reverse or withhold payouts to the extent permitted by applicable law, provider rules, or platform risk controls.

  • Users are responsible for their own taxes, reporting obligations, banking details, and payment-provider compliance.
  • Carryn does not guarantee that a payout will arrive by a specific date.
  • Carryn may rely on platform records, evidence, complaints, or provider requirements when deciding whether a workflow has reached a releasable state.

11. Communications, Evidence, and Complaint Records

Carryn may store in-platform messages, status updates, travel-window dates, approximate in-transit foreground and background location pings, intake photos, handoff photos, receipt confirmations, mismatch notes, complaint submissions, admin notes, and related metadata for safety, support, fraud prevention, chargeback handling, and legal compliance.

Approximate carrier location is an operational tracking signal, not a guarantee of exact position, custody, speed, route, arrival time, legal compliance, or delivery outcome. Sender-side personal completion markers are account-level notes only and do not change official delivery status, payout rights, courier status, complaints, or platform records.

Users agree that Carryn may review these records internally and disclose them to service providers, payment partners, insurers, law enforcement, regulators, courts, or other parties where Carryn believes disclosure is appropriate or legally required.

12. No Warranties

To the maximum extent permitted by applicable law, Carryn and its affiliates, service providers, officers, directors, employees, licensors, and contractors provide the platform on an "as is," "as available," and "with all faults" basis.

Carryn disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, uninterrupted service, accuracy of listings, lawful contents, customs clearance, travel admission, delivery timing, user conduct, and outcome of any consignment or delivery.

13. Assumption of Risk and User Release

You knowingly assume all risks arising from consignments, travel coordination, in-person meetings, item condition, route restrictions, customs review, courier handoff, recipient disputes, theft, delay, fraud, non-delivery, misdelivery, personal injury, property damage, reputational harm, and any other loss arising out of or related to your use of Carryn.

To the maximum extent permitted by applicable law, you release Carryn and its affiliates, service providers, officers, directors, employees, and contractors from claims, demands, damages, losses, liabilities, and expenses arising from disputes or events between users or relating to a consignment, except to the extent caused by Carryn’s own non-waivable legal obligations.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Carryn and its affiliates, service providers, officers, directors, employees, licensors, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost data, lost business, loss of goodwill, personal injury, emotional distress, property damage, regulatory penalties, customs problems, travel losses, or substitute-service costs arising out of or related to the platform or any consignment.

To the maximum extent permitted by applicable law, the total aggregate liability of Carryn for all claims arising out of or relating to the platform will not exceed the greater of (a) the total platform fees actually retained by Carryn from the transaction directly giving rise to the claim or (b) one hundred U.S. dollars (US $100).

Nothing in these Terms limits liability to the extent such limitation is prohibited by non-waivable law, but all limitations shall apply to the fullest extent legally permitted.

15. Indemnification

You agree to defend, indemnify, and hold harmless Carryn and its affiliates, service providers, officers, directors, employees, licensors, and contractors from and against any claim, demand, investigation, action, proceeding, liability, loss, damage, judgment, settlement, penalty, fine, cost, and expense, including reasonable attorneys’ fees, arising out of or related to your account, your content, your consignment, your handling of a consignment, your use of the platform, your communications, your violation of law, or your breach of these Terms.

16. Suspension, Cancellation, and Legal Process

Carryn may investigate activity, remove or refuse content, freeze workflows, hold funds, request additional information, limit functionality, suspend access, terminate accounts, cooperate with authorities, or take any other action Carryn believes appropriate to address risk, safety, fraud, abuse, payment issues, legal exposure, intellectual-property complaints, sanctions, or policy violations.

Carryn may preserve and disclose data if Carryn believes in good faith that doing so is necessary to protect users, enforce Terms, comply with law, respond to legal process, or protect Carryn’s rights, property, systems, personnel, or reputation.

17. Changes to Terms and Service

Carryn may modify the platform, suspend features, change operational rules, or update these Terms at any time. Updated Terms become effective when posted or when otherwise communicated, unless applicable law requires a different effective method.

Your continued use of Carryn after updated Terms take effect constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the platform.

Platform Position

These Terms are drafted to emphasize that Carryn is a software platform and recordkeeping layer, not the party physically transporting or insuring a consignment. Users remain responsible for the goods, statements, compliance choices, and delivery outcomes connected to their use of the platform.
